5spd Auto swap

I have someone who has almost all the parts I need, but the transmission (m2b4) has a slight "small" grind at 3rd gear on high revs.

I need help figuring out if this slight grind could be a bigger problem in the future? Is it something that could be taken care of by myself before the install? Or does it need to be taken to an expert, if so what are we looking at for cost of repair?

What would be a reasonable price to offer for the tranny and these parts below:

-Trans mount+ Bracket-side (aftermarket)
-Flywheel (have 2)
-Clutch Master Cylinder
-Clutch Slave Cylinder
-Vehicle Speed Sensor (VSS)
-Reverse Switch (on tranny)
-Hydraulic Clutch Line
-Clutch Pedal Assembly
-Brake Pedal Assembly
-Shifter Assembly
-Shift linkage
-5spd Intermediate shaft (half-shaft)
-Shifter Knob & Boot

Also this is from a 94 Accord Ex with a h22a head - going in to a 99 Base Prelude

I offered $400.. and he accepted. But before I go get happy with buying parts can anyone tell me if this M2B4 transmission and all the other parts would fit on a 99 prelude?

I have seen on other forms people used this transmission but didn't see if anyone was able to use the other parts from a 94 accord for their prelude. It will be super if the clutch, pedals, etc will fit!!

What is this part? And where is the speed sensor?

Biggest problem is the 94 accord is OBD1 and 99 prelude is OBD2. Computers and sensors will be different most likely.

Only sensor on the manual transmission is the speedo and that would just require the digital thing that goes on top.. NO one ever answered what was in the red box.
